Changing the registered agent for an Ohio company takes one filing with the Ohio Secretary of State. Ohio's statutes call the role the statutory agent, so the state's paperwork carries that label, but it is the same registered agent function every state requires. Ohio uses a single form for agent changes across entity types. The official form name and number is the Statutory Agent Update, Form 521, available as a PDF from the Secretary of State. You can also submit the update electronically through Ohio Business Central, the state's filing portal.

The $25 fee comes from ORC 111.16(R)(1), which sets the charge for a change of agent, an agent's resignation, or a change of the agent's address. The state's filing forms and fee schedule lists it alongside every other business filing.

Steps to Change Your Registered Agent in Ohio

1. Choose a replacement agent that satisfies ORC 1706.09: an individual who resides in Ohio, or a business entity with a business address in Ohio. A PO box cannot serve as the agent address.
2. Download Form 521, the Statutory Agent Update, or start the filing online at Ohio Business Central.
3. Enter your company's name and registration information plus the new agent's name and Ohio street address.
4. Submit the filing with the $25 fee, by mail or through the portal.
5. Once the state accepts it, verify the new agent shows correctly on the business search and let your former agent know the switch is complete.
